1. Entity and Access
These Terms of Service govern the use of services provided by PHWM Inc., a Wisconsin corporation, doing business as Podexr ("PHWM," "we," "our," or "us"). Podexr is an invite-only membership platform available only to individuals who have received an invitation or approval to join. By creating an account or making a payment, you confirm that you are authorized to use the platform and meet any eligibility criteria communicated to you.
2. Platform Purpose
PHWM Inc. provides an online platform (the "Podexr Platform") for facilitating contact between individuals with shared interests, enabling the organization of private, member-hosted events within the community, and offering related services including themed product sales, equipment rental, and event management tools.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. PHWM Inc. is not liable for any unauthorized access resulting from the loss or misuse of credentials.
4. Payments and Memberships
All paid features and memberships are subject to the Payment Terms described above. Paid memberships provide additional tools and services that may include enhanced search and discovery, advanced event-planning features, and analytics tools. The full, current list of features is provided on the Podexr website at the time of purchase. By subscribing, you agree to the terms, duration, and renewal conditions presented at checkout.
5. Content and Conduct
You agree not to upload or distribute any unlawful, harmful, or infringing content, or to use the platform for any activity that violates applicable laws or the rights of others. PHWM Inc. reserves the right to suspend or remove accounts that breach these terms or our community guidelines.
6. Invite-Only Participation
Membership invitations are non-transferable and may be revoked at any time for violations of community standards, misuse of the platform, or non-payment. Access to certain features or events may also depend on organizer approval or account standing.
7. Service Modifications
PHWM Inc. may, at its discretion, modify, update, replace, suspend, or discontinue any part of the Podexr Platform or any related service at any time, with or without prior notice. These changes may include updates to functionality, pricing, features, or availability.
If a modification materially reduces or removes a feature or service you use, you may request termination of your membership. Upon such request, PHWM Inc. will provide a pro-rated refund of your most recent paid membership, calculated from the date your termination request is received.
Nothing in this section limits PHWM Inc.'s ability to make routine or necessary service adjustments to maintain quality, compliance, or security.
8. Liability and Disclaimer
PHWM Inc. provides its services "as is" and without warranties of any kind, express or implied. We are not responsible for the actions, conduct, or content of members or event organizers. To the fullest extent permitted by law, PHWM Inc.'s liability is limited to the amount you paid for the applicable service during the most recent billing period.
9. Termination
You may terminate your membership at any time. PHWM Inc. may suspend or terminate your access if you violate these Terms of Service or use the platform in a manner inconsistent with its intended purpose. If termination results in loss of membership rights, the refund terms outlined in the Payment Terms will apply.
10. Governing Law
These Terms are governed by and construed under the laws of the State of Wisconsin, USA, without regard to conflict-of-law principles.
